By purchasing a Product through the Service (each purchase of any Products, an “Order”), you acknowledge that Feed purchases the Products from third parties and does not independently verify any third party’s or any Product’s compliance with applicable law or regulation, nor does Feed test any Product for quality, defects or other issue. Accordingly, you hereby acknowledge that you use or consume Products at your own discretion and at your own risk, and to the fullest extent permitted by applicable law, Feed hereby disclaims any and all warranties with respect to the Products, and disclaims any and all liability with respect to your use or consumption thereof.

Until you are 18 years old, your parent or guardian may ask us to modify, deny access to, or terminate your account and we may do so at his or her request or at any time, for any or no reason, without notice and liability. In any case, you affirm that you are over the age of 13, as the Service is not intended for or targeted to any person under 13 years of age. By clicking the applicable button or box, or by otherwise using the Service, you represent that you meet the eligibility requirements described above and have not been previously suspended or denied permission to use the Service by Feed.
  • Delivery. Feed may contract with a third-party delivery service provider to fulfil Orders placed through the Service. Any estimated delivery times are not guarantees with respect to when a Product ordered through the Service will be delivered. Feed makes no promises or guarantees with respect to the delivery of any Products, whether or not such delivery is conducted by Feed or by one or more of its third-party delivery service providers.
  • Accounts and Registration. To access most features of the Service, you must register for an account. If you believe that your account is no longer secure, then you should immediately notify us at [email protected].
  • Payment and Purchases
  • Overview. Certain features of the Service may allow you to purchase Products. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. All fees are in U.S. Dollars and are non-refundable unless otherwise specifically provided for in these Terms.
  • Price. Feed reserves the right to determine pricing for the Products and any related charges, including service and delivery fees (“Additional Fees”). Feed will make reasonable efforts to keep pricing information published on the Service up to date. Feed may update the fees for any Product or any Additional Fees on a going forward basis in its sole discretion. Feed, at its sole discretion, may make promotional offers with different features and different pricing to any of Feed’s customers. These promotional offers, unless made to you, will not apply to any Order or these Terms. We may cancel your Order if you use a promotional offer that was not directed to you.
  • Authorization. You authorize Feed and its third-party payment processors to charge all fees payable by you as described in these Terms or published by Feed, including all applicable taxes, to the payment method specified in your account. If you pay any fees with a credit card, then Feed or its third-party payment processors may seek pre-authorization of your credit card account prior to your purchase to verify that the credit card is valid and has the necessary funds or credit available to cover your purchase.
  • Delinquent Accounts. Feed may suspend or terminate access to the Service, including fee-based portions of the Service, for any account for which any amount is due but unpaid. In addition to the amount due for the Service, a delinquent account will be charged with fees or charges that are incidental to any chargeback or collection of any unpaid amount, including collection fees.
  • Out-of-Stock Products. Feed will use commercially reasonable efforts to keep the availability of each Product up-to-date on the Service. Some Products may be out of stock, even if the Service indicates that the Product is in stock. In those cases, we may, in our sole discretion, attempt to contact you to modify your Order to replace the out -of-stock Product with an alternate Product, or cancel your Order with respect to the out-of-stock Product. If Feed cancels your Order with respect to one or more Products on that Order, Feed will refund to you any amounts paid by you for such canceled Product(s).
  • Returns and Refunds. Feed may, in its sole discretion, elect to offer refunds for purchased Products, including where a purchased Product arrives damaged or defective. Where Feed agrees to provide a refund for a given Product, Feed will refund only those amounts actually paid by you for the refunded Products. Refunds will be issued to the payment method used for the original purchase of the Product. It may take a few days for your bank or credit card company to process any issued refunds.
    • Subscribe & Save Program
    • “Subscribe & Save” is a subscription service that Feed provides that offers a discount off the purchase price for regularly scheduled deliveries of eligible products.
Subscribe & Save benefits are limited to items displaying the Subscribe & Save offer message in the Cart view (“Subscribe and Save Products”).
Discounts for Subscribe & Save Products and any Subscribe & Save limited time special subscription promotions in effect apply only to eligible items displaying the offer message on the checkout cart view. Subscriptions are good while supplies last. Special limited time subscription promotions only apply during their effective dates.
Once you have made a subscription for a Subscribe & Save Product, your subscription will automatically create a new order for such Subscribe & Save Product according to your chosen delivery schedule, until you terminate such subscription.
Some of the offer details may change as you receive deliveries over time (e.g., price, taxes, availability, shipping charges).
The total cost charged to your payment method for each Subscribe & Save order will be the cost of the item on the day that order is processed less the Subscribe & Save discount, plus any applicable sales tax. Any eligible promotional credit balances on your customer account may be applied toward the balance of your order before charging any remaining balance to your payment method.
The charge for each Subscribe & Save item shipment will be billed to the payment method used to create your subscription or as otherwise directed by you. If we are unable to complete your Subscribe & Save order with the payment method you used to create your subscription, you authorize us to update your subscription with another payment method in your account and to charge the payment method for your Subscribe & Save order.
Your subscription will remain in effect until it is canceled. You can cancel at any time prior to the order cut-off date for each delivery date via Your Subscriptions tab, which can be found in Your Account. If you cancel your subscription and then reactivate it, the discount applied to any Subscribe & Save item may not be the same discount in effect at the time of cancellation. If the Subscribe & Save discount percentage for such Subscribe & Save item changes, the new discount will be applied to your future shipments of that item.
Your participation in the Subscribe & Save program is personal to you, and you may not assign or transfer your Subscription or any of the benefits to any third party without our authorization.
We may, in our sole discretion, terminate your subscriptions at any time without notice. If we do so, you will only be charged for orders that have been shipped to you.
  • Promotional Offers and Credits. Feed, at its sole discretion, may make promotional offers with different features and different rates to any User. These promotional offers are subject to the terms of this Agreement and may be valid only for certain Users as indicated in the offer. You agree that promotional offers: (i) may only be used by the intended audience, for the intended purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public, unless expressly permitted by Feed; (iii) are subject to the specific terms that Feed establishes for such promotional offer; (iv) cannot be redeemed for cash or cash equivalent; and (v) are not valid for use after the date indicated in the offer. Feed reserves the right to withhold or deduct credits or benefits obtained through a promotion in the event that Feed determines or believes that the redemption of the promotion or receipt of the credit or benefit was in error, fraudulent, illegal, or in violation of the applicable promotion terms or this Agreement. Feed reserves the right to modify or cancel an offer at any time. Feed may also offer gratuitous credits, which can be used for the Services. Any credit issued by Feed is valid for 6 months from the date of issue except to the extent prohibited under applicable law and may not be redeemed for cash or cash equivalent. Upon expiration, credits will be removed from your account. Expired credits are no longer redeemable and cannot be used towards any order.

  • your User Content could not be deemed by a reasonable person to be objectionable, profane, indecent, pornographic, harassing, threatening, embarrassing, hateful, or otherwise inappropriate.

  • Modification of the Service. Feed reserves the right to modify or discontinue all or any portion of the Service at any time (including by limiting or discontinuing certain features of the Service), temporarily or permanently, without notice to you. FEED DOES NOT WARRANT THAT THE SERVICE OR ANY PORTION OF THE SERVICE, OR ANY MATERIALS OR CONTENT OFFERED THROUGH THE SERVICE, WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, VIRUSES, OR OTHER HARMFUL COMPONENTS, AND FEED DOES NOT WARRANT THAT ANY OF THOSE ISSUES WILL BE CORRECTED.
  • NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM THE SERVICE OR FEED ENTITIES OR ANY MATERIALS OR CONTENT AVAILABLE THROUGH THE SERVICE WILL CREATE ANY WARRANTY REGARDING ANY OF THE FEED ENTITIES OR THE SERVICE THAT IS NOT EXPRESSLY STATED IN THESE TERMS. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE THAT MAY RESULT FROM THE SERVICE OR YOUR USE OR CONSUMPTION OF ANY PRODUCT. YOU UNDERSTAND AND AGREE THAT YOU USE OR CONSUME THE PRODUCTS OR ANY PORTION OF THE SERVICE AT YOUR OWN DISCRETION AND RISK, AND THAT WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR PROPERTY (INCLUDING YOUR COMPUTER SYSTEM OR MOBILE DEVICE USED IN CONNECTION WITH THE SERVICE) OR ANY LOSS OF DATA, INCLUDING USER CONTENT.
  • THE LIMITATIONS, EXCLUSIONS AND DISCLAIMERS IN THIS SECTION 15 APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. Feed does not disclaim any warranty or other right that Feed is prohibited from disclaiming under applicable law.
  • Limitation of Liability
  • TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE FEED ENTITIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, OR ANY OTHER INTANGIBLE LOSS) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR YOUR INABILITY TO ACCESS OR USE, THE PRODUCTS, THE SERVICE OR ANY MATERIALS OR CONTENT ON THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ANY FEED ENTITY HAS BEEN INFORMED OF THE POSSIBILITY OF DAMAGE.
  • EXCEPT AS PROVIDED IN SECTIONS 17.5 AND 17.6 AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF THE FEED ENTITIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE THE PRODUCTS, ANY PORTION OF THE SERVICE, OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS LIMITED TO THE GREATER OF: (a) THE AMOUNT YOU HAVE PAID TO FEED FOR ACCESS TO AND USE OF THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENT OR CIRCUMSTANCE GIVING RISE TO THE CLAIM AND (b) US$100.
  • EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS INTENDED TO AND DOES ALLOCATE THE RISKS BETWEEN THE PARTIES UNDER THESE TERMS. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS. THE LIMITATIONS IN THIS SECTION 16 WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
  • Dispute Resolution and Arbitration
  • Generally. Except as described in Section 17.2 and 17.3, you and Feed agree that every dispute arising in connection with these Terms, the Service, and communications from us will be resolved through binding arbitration. Arbitration uses a neutral arbitrator instead of a judge or jury, is less formal than a court proceeding, may allow for more limited discovery than in court, and is subject to very limited review by courts. This agreement to arbitrate disputes includes all claims whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, and regardless of whether a claim arises during or after the termination of these Terms. Any dispute relating to the interpretation, applicability, or enforceability of this binding arbitration agreement will be resolved by the arbitrator.

YOU UNDERSTAND AND AGREE THAT, BY ENTERING INTO THESE TERMS, YOU AND FEED ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION.

  • Exceptions. Although we are agreeing to arbitrate most disputes between us, nothing in these Terms will be deemed to waive, preclude, or otherwise limit the right of either party to: (a) bring an individual action in small claims court; (b) pursue an enforcement action through the applicable federal, state, or local agency if that action is available; (c) seek injunctive relief in a court of law in aid of arbitration; or (d) to file suit in a court of law to address an intellectual property infringement claim.
  • Opt-Out. If you do not wish to resolve disputes by binding arbitration, you may opt out of the provisions of this Section 17 within 30 days after the date that you agree to these Terms by sending a letter to PopcornVan, Inc., Attention: Legal Department – Arbitration Opt-Out, 55 Lucerne Street, San Francisco 94103 that specifies: your full legal name, the email address associated with your account on the Service, and a statement that you wish to opt out of arbitration (“Opt-Out Notice”). Once Feed receives your Opt-Out Notice, this Section 17 will be void and any action arising out of these Terms will be resolved as set forth in Section 18.2. The remaining provisions of these Terms will not be affected by your Opt-Out Notice.
  • Arbitrator. This arbitration agreement, and any arbitration between us, is subject the Federal Arbitration Act and will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules (collectively, “AAA Rules”) as modified by these Terms. The AAA Rules and filing forms are available online at www.adr.org, by calling the AAA at +1-800-778-7879, or by contacting Feed.
  • Commencing Arbitration. Before initiating arbitration, a party must first send a written notice of the dispute to the other party by certified U.S. Mail or by Federal Express (signature required) or, only if that other party has not provided a current physical address, then by electronic mail (“Notice of Arbitration”). Feed’s address for Notice of Arbitration is: PopcornVan, Inc., 55 Lucerne Street, San Francisco 94103. The Notice of Arbitration must: (a) identify the name or account number of the party making the claim; (b) describe the nature and basis of the claim or dispute; and (c) set forth the specific relief sought (“Demand”). The parties will make good faith efforts to resolve the claim directly, but if the parties do not reach an agreement to do so within 30 days after the Notice of Arbitration is received, you or Feed may commence an arbitration proceeding. If you commence arbitration in accordance with these Terms, Feed will reimburse you for your payment of the filing fee, unless your claim is for more than US$10,000 or if Feed has received 25 or more similar demands for arbitration, in which case the payment of any fees will be decided by the AAA Rules. If the arbitrator finds that either the substance of the claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules and the other party may seek reimbursement for any fees paid to AAA.
  • Arbitration Proceedings. Any arbitration hearing will take place in the county and state of your billing address unless we agree otherwise or, if the claim is for US$10,000 or less (and does not seek injunctive relief), you may choose whether the arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; (b) through a telephonic or video hearing; or (c) by an in-person hearing as established by the AAA Rules in the county (or parish) of your billing address. During the arbitration, the amount of any settlement offer made by you or Feed must not be disclosed to the arbitrator until after the arbitrator makes a final decision and award, if any. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based.
  • Arbitration Relief. Except as provided in Section 17.8, the arbitrator can award any relief that would be available if the claims had been brought in a court of competent jurisdiction. If the arbitrator awards you an amount higher than the last written settlement amount offered by Feed before an arbitrator was selected, Feed will pay to you the higher of: (a) the amount awarded by the arbitrator and (b) US$10,000. The arbitrator’s award shall be final and binding on all parties, except (1) for judicial review expressly permitted by law or (2) if the arbitrator’s award includes an award of injunctive relief against a party, in which case that party shall have the right to seek judicial review of the injunctive relief in a court of competent jurisdiction that shall not be bound by the arbitrator’s application or conclusions of law. Judgment on the award may be entered in any court having jurisdiction.
  • No Class Actions. YOU AND FEED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Feed agree otherwise, the arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
  • Modifications to this Arbitration Provision. If Feed makes any substantive change to this arbitration provision, you may reject the change by sending us written notice within 30 days of the change to Feed’s address for Notice of Arbitration, in which case your account with Feed will be immediately terminated and this arbitration provision, as in effect immediately prior to the changes you rejected will survive.
  • Enforceability. If Section 17.8 or the entirety of this Section 17 is found to be unenforceable, or if Feed receives an Opt-Out Notice from you, then the entirety of this Section 17 will be null and void and, in that case, the exclusive jurisdiction and venue described in Section 18.2 will govern any action arising out of or related to these Terms.

The failure to require performance of any provision will not affect our right to require performance at any other time after that, nor will a waiver by us of any breach or default of these Terms, or any provision of these Terms, be a waiver of any subsequent breach or default or a waiver of the provision itself. Throughout these Terms the use of the word “including” means “including but not limited to.” If any part of these Terms is held to be invalid or unenforceable, then the unenforceable part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
